1. Agreement to Terms

By accessing or using AIGNCY Studio ("Service"), operated by AIGNCY, LLC ("AIGNCY", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

AIGNCY Studio is a subscription-based software platform that provides AI-powered content generation tools, including but not limited to:

  • •Content enhancement tools (upscaling, editing, etc.)
  • •Marketplace for digital products (content packs, AI models, templates)
  • •Credit-based usage system

3. Account Registration

To use the Service, you must:

  • •Provide accurate, current, and complete information during registration
  • •Maintain the security of your account credentials
  • •Notify us immediately of any unauthorized access

You are responsible for all activity under your account.

4. Subscription Plans and Billing

4.1 Subscription Tiers

We offer multiple subscription tiers (Basic, Pro, Max) with varying monthly credit allocations. All features and pricing are described on our pricing page.

4.2 Billing

  • •Subscriptions are billed monthly or annually in advance
  • •Payment is processed through third-party payment processor (Stripe)

  • •Failed payments may result in service suspension

4.3 Credits

  • •Subscription credits reset monthly and do not roll over
  • •Purchased credit packs never expire
  • •Credits have no cash value and are non-transferable

4.4 Cancellation

  • •You may cancel your subscription at any time through your account settings
  • •Cancellations take effect at the end of the current billing period
  • •You retain access until the end of your paid period
  • •No refunds for partial months

5. Marketplace Purchases

5.1 Digital Products

We offer one-time purchases of digital products including:

  • •AI models (trained LoRA files and reference packs)
  • •Content packs (pre-generated image collections)
  • •Templates and presets

5.2 Purchase Terms

  • •All marketplace purchases are final
  • •Products are delivered digitally and available immediately upon purchase
  • •Products may be purchased with credits or USD
  • •No refunds on digital product purchases

6. Acceptable Use Policy

6.1 Permitted Use

You may use the Service to:

  • •Generate content for personal or commercial use
  • •Upload reference images you own or have rights to use
  • •Create and train AI models based on content you own

6.2 Prohibited Use

You may NOT:

  • •Upload images of individuals without their consent
  • •Generate content depicting minors (under 18) in any context
  • •Create content that violates applicable laws
  • •Upload copyrighted material you don't own
  • •Use the Service for illegal purposes
  • •Attempt to reverse-engineer or copy our technology
  • •Share your account credentials with others
  • •Resell or redistribute generated content as templates
  • •Use automated tools to abuse the Service

6.3 Content Moderation

We reserve the right to:

  • •Review uploaded content and generated outputs
  • •Remove content that violates these Terms
  • •Suspend or terminate accounts that violate these Terms
  • •Report illegal activity to authorities

7. Intellectual Property

7.1 Your Content

  • •We retain no rights to your generated content

  • •You may not copy, modify, or create derivative works

8. Privacy and Data

Your use of the Service is subject to our Privacy Policy. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

9. Disclaimers and Limitations

9.1 Service Availability

  • •We do not guarantee uninterrupted or error-free service
  • •We may suspend service for maintenance or updates

9.2 AI Accuracy

  • •AI-generated content may contain errors or artifacts
  • •We do not guarantee the quality or accuracy of outputs

9.3 Limitation of Liability

To the maximum extent permitted by law:

  • •Our total liability is limited to the amount you paid in the 12 months prior to the claim

10. Indemnification

You agree to indemnify and hold AIGNCY harmless from claims arising from:

  • •Your violation of these Terms
  • •Your violation of third-party rights
  • •Content you upload or generate

11. Modifications to Service and Terms

We reserve the right to:

Continued use after changes constitutes acceptance.

12. Termination

You may terminate your account at any time by canceling your subscription and contacting support.

We may suspend or terminate your account if:

12.3 Effect of Termination

Upon termination:

13. Dispute Resolution

These Terms are governed by the laws of the State of Florida, USA.

13.2 Arbitration

Any disputes shall be resolved through binding arbitration in Pinellas County, Florida, except:

  • •Injunctive relief requests

13.3 Class Action Waiver

You agree to resolve disputes individually, not as part of a class action.
